Can a director appoint a person as proxy to attend a Board Meeting on his behalf?
Answer & Explanation:
The concept of proxy is alien to meetings of the Board. A director has only two options to attend the meeting of the Board of Directors either in person or by video conference; or to absent himself from the Board Meeting with or without the permission of the Chairman. A director cannot appoint a proxy to attend the meeting of the Board on his behalf.
