Write notes on the following: Appointment of proxy for a general meeting wherein e-voting facility has been provided to the members.

Answer & Explanation:

"Proxy" means an instrument in writing signed by a Member, authorising another person, whether a Member or not, to attend and vote on his behalf at a Meeting and also where the context so requires, the person so appointed by a Member. Section 105 of the Companies Act provides that any member of a company entitled to attend and vote at a meeting of the company shall be entitled to appoint another person as a proxy to attend and vote at the meeting on his behalf. Provided that a proxy shall not have the right to speak at such meeting and shall not be entitled to vote except on a poll. Proxy is a facility given to a member to exercise his voting rights in case the member is unable to attend and vote himself. The provision for electronic voting is a platform facilitating the members to vote on their own. Secretarial Standard on General meeting provides that a Member who has already cast his vote through Remote e-voting may appoint a Proxy to attend the Meeting instead of himself, but such Proxy will not be able to cast his vote at the Meeting.
