Elucidate the obligations of the Company under the SEBI (Issue of Sweat Equity) Regulations, 2002.

Answer & Explanation:

The SEBI (Issue of Sweat Equity) Regulations, 2002, have been repealed and replaced by the SEBI (Share Based Employee Benefits and Sweat Equity) Regulations, 2021, effective August 13, 2021. Therefore, the obligations of the company are now governed by the 2021 Regulations. As per Regulation 41 of the SEBI (Share Based Employee Benefits and Sweat Equity) Regulations, 2021, the obligations of the Company issuing sweat equity shares are as under: Explanatory Statement in Notice: The explanatory statement to the notice for a general meeting seeking approval for sweat equity must contain disclosures as specified under Section 54(1)(b) of the Companies Act, 2013, and Regulation 32(1) of the SEBI (Share Based Employee Benefits and Sweat Equity) Regulations, 2021. Secretarial Auditor's Certificate: The secretarial auditor's certificate, as required under Regulation 36, must be placed in the general meeting of the shareholders. Reporting to Stock Exchange: The company must, within seven days of the issue of sweat equity shares, send a statement to the recognised stock exchange, disclosing the following: Number of sweat equity shares issued. Price at which the sweat equity shares are issued. Total amount received towards sweat equity shares. Details of the persons to whom sweat equity shares have been issued. The consequent changes in the capital structure and the shareholding pattern before and after the issue of sweat equity shares. These obligations ensure transparency, proper authorization, and timely disclosure regarding the issuance of sweat equity shares.
